Job Summary


  • Negotiate complex and strategic software license, SaaS, alliance, professional services agreements, NDAs and strategic partnership agreements for software, content, data, technologies and services to be used by the company or integrated or incorporated into company offerings.
  • Advise and work in collaboration with global cross-functional teams across divisions (e.g. product management, product marketing, engineering and research) to identify and solve legal issues.
  • Analyze software and services agreements, such as API and developer agreements, to determine suitability of technology for company efforts.
  • Providing support to global commercial legal group on complex IP issues in customer license and service agreements including without limitation indemnification, licensing, ownership and representations and warranties.  
  • Effectively managing in parallel, multiple and varied transactions, while balancing appropriate legal and business risks.
  • Assist with all technology and IP contracting aspects of other transactions including without limitation customer agreements and mergers & acquisitions, including due diligence support and negotiation of IP related matters in a variety of agreements, research partnerships and other transactions; and
  • Managing various legal projects and other duties as assigned.



  • 10+ years of legal experience with technology companies, or at a law firm serving technology clients.
  • Significant experience drafting and negotiating complex in-bound or technology transaction acquisition transactions, including inbound software licensing, joint development, SaaS, alliance, data and open source agreements, and providing product counseling to engineering and product management teams.
  • Superior understanding of all aspects of software and content licensing and IP transactions, U.S. and international, and IP representations, warranties and indemnifications.
  • Open source experience preferred.
  • Technical background preferred.
  • Excellent leadership, communication and interpersonal skills with a willingness to collaborate, share knowledge, respond quickly to urgent matters and execute proactively.
  • Ability to manage numerous projects simultaneously under deadline pressures with minimal supervision.
  • Ability to work independently and think strategically.
