    The M & A and Securities Counsel/Attorney will be responsible for assisting with the legal aspects of Nuance’s Corporate and Real Estate activities with a focus on experience in M&A transactions, SEC/'34 Act filings and general corporate law. This role will report the V.P., Associate General Counsel 

     

    Responsibilities:

    • Advise, lead, and support mergers, acquisitions, and divestitures, both domestic and international, including all aspects of due diligence; drafting and negotiating all agreements including, confidentiality, LOI and transaction agreements and documents; throughout all stages of process (including government, third-party and internal approvals);
    • Supervise outside counsel;
    • Developing solutions to improve the efficiency of the M&A process;
    • Provide M&A post transaction and integration support;
    • Assist with drafting, reviewing, and providing legal advice on required SEC/'34 Act filings;
      Work on ad hoc strategic legal projects, including but not limited to financing activities, research, and the development new policies, templates and processes, and other legal, compliance, and regulatory matters; 
    • Lead real estate support and advice, manage, and draft, review and negotiate real estate documents; and
    • Assist with corporate policy development

     

    Education:

    • Juris Doctor

    Required skills:

    • 3 to 5 years of legal experience at a large to midsize law firm or within a large public company's corporate legal department.
    • 3 to 5 years of working directly on relevant corporate, M&A, and SEC/'34 Act, especially for public companies.

     

    Preferred skills:   

    • Business-oriented approach to problem solving, tempered by an appreciation for legal complexity and risk
    • Superior legal and analytical skills – excellent judgment and initiative in selecting the most effective solutions
    • Excellent collaborative, communications and negotiation skills
    • Strong interpersonal skills with the ability to stand firm when necessary
    • Detail-oriented and resourceful with excellent follow-through skills
    • Ability to work under pressure and prioritize and manage workload simultaneous tasks, and meet deadlines with a changing fast-paced environment
